Terms of Service

1. Services

AIoptimix provides software development, AI automation, mobile application development, website development, ERP systems, CRM systems, HR software, managed hosting, professional email, domain registration, UI/UX design, and related technology services.

The specific scope of any engagement is agreed between AIoptimix and the client in writing before work begins. Work outside the agreed scope is subject to additional agreement and billing.

We reserve the right to decline any project at our discretion, including projects that conflict with our values, legal obligations, or capacity.

2. Quotes and Proposals

Any quote or proposal provided by AIoptimix is valid for 30 days from the date of issue unless otherwise stated. Quotes are based on information provided by the client at the time of the enquiry.

A quote is not a guarantee of cost. If the scope of work changes materially after a quote is accepted, AIoptimix reserves the right to revise the pricing. Any such revision will be communicated and agreed before additional work proceeds.

3. Payment Terms

Payment terms are agreed in writing before any project begins. Standard payment structure involves an upfront deposit before work commences, with the remaining balance due upon project milestones or completion.

Invoices are due within the timeframe specified on the invoice. Late payments may result in work being paused until outstanding amounts are settled.

All prices are in Pakistani Rupees (PKR) unless otherwise stated. For international clients, currency and payment method are agreed prior to project commencement.

Deposits paid for work that has already commenced are non-refundable.

4. Client Responsibilities

The client is responsible for:

• Providing accurate and complete information required for the project
• Responding to requests for feedback, approvals, and clarifications in a timely manner
• Providing access to systems, credentials, or materials we need to perform the work
• Reviewing and approving deliverables within agreed timeframes
• Ensuring that all content provided to us is owned by the client or properly licensed

Delays caused by the client failing to fulfil these responsibilities may affect project timelines and may incur additional charges.

5. Intellectual Property

Upon receipt of full payment for a project, all intellectual property rights in the deliverables created specifically for the client are assigned to the client, unless otherwise agreed in writing.

AIoptimix retains ownership of any pre-existing code, frameworks, libraries, tools, and methodologies used in delivering the project. The client receives a licence to use such components as part of the delivered solution.

If full payment is not received, AIoptimix retains all intellectual property rights in the work produced until the outstanding balance is paid in full.

AIoptimix reserves the right to reference the project and client relationship in our portfolio and marketing materials, unless the client has expressly requested otherwise in writing.

6. Confidentiality

Both parties agree to treat any sensitive information shared during the engagement as confidential and not to disclose it to third parties without consent. This obligation continues after the engagement ends.

We take client confidentiality seriously. If a specific Non-Disclosure Agreement is required, we are happy to enter into one.

7. Warranties and Representations

AIoptimix warrants that services will be performed with reasonable skill and care by qualified personnel.

We do not warrant that our deliverables will be entirely free of defects. We do commit to correcting material defects reported within the agreed warranty period, at no additional charge.

The client warrants that all materials, content, and information provided to us do not infringe any third-party rights and comply with applicable laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AIoptimix shall not be liable for:

• Loss of profits, revenue, or business
• Loss of data or information
• Indirect, incidental, or consequential losses
• Losses arising from third-party systems, services, or integrations beyond our control

Our total liability to the client for any claim arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Termination

Either party may terminate an engagement with reasonable written notice. Upon termination, the client is liable for payment for all work completed up to the date of termination.

AIoptimix may terminate an engagement immediately if the client materially breaches these terms, fails to make payment, or engages in conduct that makes continuation of the engagement unreasonable.

10. Hosting and Managed Services

For hosting and managed services, the following additional terms apply:

• Services are provided on a subscription basis billed monthly or annually as agreed
• We commit to reasonable uptime but do not guarantee 100% availability
• Planned maintenance will be communicated in advance where possible
• The client is responsible for maintaining backups of content unless backup services are expressly included
• Termination of hosting services requires 30 days written notice

11. Governing Law

These Terms of Service are governed by applicable law. Any disputes arising from or related to these terms or our services shall be resolved through good-faith negotiation, and if necessary, binding arbitration.

12. Changes to These Terms

We may update these Terms of Service from time to time. The current version will always be published on our website. Continued use of our services after a change constitutes acceptance of the updated terms.

For ongoing engagements, changes to terms will be communicated directly to the client and will not apply retroactively to agreed project scopes.
